Please read these Terms of Service ("Terms") carefully. By accessing or using the iShruti platform ("Platform"), you agree to be bound by these Terms. If you do not agree, do not use the Platform.
These Terms constitute a legally binding agreement between ISHRUTI LLC, an Indiana limited liability company ("iShruti," "we," "us," or "our"), and you, the individual or entity accessing the Platform ("you" or "User").

iShruti operates a two-sided marketplace that connects professional speakers ("Speakers") with event organizers, enterprises, and conference producers ("Organizers"). iShruti facilitates discovery, negotiation, contracting, and payment — but is not a party to the underlying speaking engagement between Speakers and Organizers.

Violations may result in immediate account suspension and legal action.
iShruti charges a 17.5% commission on all confirmed booking fees. Commission is deducted automatically from the speaker's payout via Stripe Connect. The full fee is disclosed to Organizers; iShruti's commission is not hidden.
Speakers are not employees or exclusive contractors of iShruti. Speakers may maintain profiles on other platforms and accept direct bookings outside of iShruti, subject to the circumvention prohibition in Section 4.
Speakers retain all intellectual property rights in their presentations, materials, and content. By creating a profile, Speakers grant iShruti a non-exclusive, worldwide license to display their name, headshot, bio, and video samples solely for the purpose of marketing their availability through the Platform.
iShruti may feature confirmed bookings, speaker quotes, and event outcomes in marketing materials with Speaker's prior consent. Speakers may opt out at any time via dashboard settings.
Speakers are responsible for the accuracy of all profile information, including credentials, speaking topics, fee ranges, and availability. Misrepresentation is grounds for removal.
Organizers pay the agreed speaker fee plus a platform service fee at the time of booking confirmation. All payments are processed through Stripe in the selected currency. Organizers authorize iShruti to charge the payment method on file.
Refunds are governed by the Refund Policy. Organizers acknowledge that confirmed and delivered speaking engagements are generally non-refundable except in circumstances specified therein.
Any disputes between Organizers and Speakers regarding booking quality or non-performance must first be submitted to iShruti's mediation process (disputes@ishruti.org). iShruti will attempt to facilitate resolution within 10 business days. If unresolved, disputes proceed to binding arbitration per Section 11.
You must provide accurate registration information and maintain the security of your account credentials. You are responsible for all activity under your account. Notify security@ishruti.org immediately if you suspect unauthorized access.
iShruti reserves the right to suspend or terminate any account at its sole discretion for:
Speakers with active bookings at the time of termination will be paid out for completed engagements. Ongoing bookings will be canceled with notice to affected Organizers.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ISHRUTI'S LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THE PLATFORM IS LIMITED TO THE GREATER OF (A) $500 OR (B) THE AMOUNT OF FEES PAID BY YOU TO ISHRUTI IN THE 12 MONTHS PRECEDING THE CLAIM.
ISHRUTI IS NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, OR SPECIAL DAMAGES, INCLUDING LOST PROFITS OR LOST DATA.
You agree to indemnify, defend, and hold harmless iShruti, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including attorneys' fees) arising from: (a) your use of the Platform; (b) your violation of these Terms; or (c) your violation of any third party's rights.
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.
Any dispute arising under these Terms shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, with arbitration conducted in Indianapolis, Indiana. The parties waive the right to a jury trial and to participate in class action litigation.
iShruti may update these Terms at any time. We will notify registered Users by email at least 14 days before material changes take effect. Continued use of the Platform after the effective date constitutes acceptance.
